The purchase of products or services, whether through the solida.ca website (the “Website“) or directly from Distributions Solida Inc. or any authorized third party, is governed by the terms and conditions set out below, which constitute the terms and conditions of sale (the “Terms“) applicable between you (hereinafter: “you” or “the Buyer“) and Distributions Solida Inc. (“Solida“) for the purchase of products from Solida (the “Products“). These terms and conditions may be modified at any time by Solida, with effect as at the date of publication of the modifications.

Unless specifically provided for in these Terms, the other terms set forth in any terms and conditions of use of the Website or in any privacy policy, if applicable, continue to govern the rights and obligations of the Buyer and Solida.

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE PURCHASING ANY PRODUCT(S) FROM SOLIDA OR THROUGH THE WEBSITE.

1. GENERAL TERMS

1.1 Quotes and Orders

All quotes submitted and orders received through the Website are subject to the provisions below, which constitute the entire agreement between Solida and the Buyer. These provisions supersede any prior agreement, and no modification shall be effective unless confirmed in writing by an authorized representative of both parties.

An order for a Product placed by the Buyer with Solida or through the Website is only binding on Solida once it has been accepted by Solida. Similarly, any quote submitted by Solida to the Buyer constitutes only an offer to contract, which only becomes a sales agreement once the Buyer has accepted the quote.

1.2 Consent to the Terms and Conditions

By purchasing Products, you agree to be bound by the provisions of these Terms and Conditions. You declare that you are of legal age to give valid consent and enter into these Terms and Conditions. Minors are strictly prohibited from purchasing Products from Solida and from making purchases or transactions through the Website.

1.3 Description and Availability of Products

Solida makes no warranty as to the availability of the Products it sells or advertises on the Website.

Information about Products, as well as information about prices and availability, may change from time to time without notice and without Solida being held liable.

2. Payment and Delivery

2.1 Prices

The prices indicated in a quote or on the Website are in Canadian dollars, unless indicated otherwise. The Buyer shall pay all applicable provincial and federal sales taxes. Solida reserves the right to amend the prices of the Products offered on the Website at any time without notice. New prices shall take effect upon publication.

All prices provided in a quote are valid for thirty (30) days from the date of the quote and exclude taxes, unless otherwise indicated.

2.2 Terms of payment

Payment of the total price is due within thirty (30) days of the invoice date, unless otherwise specified by Solida. Any amount unpaid at the due date will bear interest at a rate of 2% per month (or 24% per year), calculated daily and compounded monthly, until full payment is made.

2.3 Delivery

Shipping and handling charges are in addition to the purchase price of the Products. Shipping charges are subject to certain variations depending on the delivery time selected by the Buyer and the delivery distance.

Solida will deliver the Products ordered by the Buyer to the address provided at the time of ordering. Delivery times may vary depending on the delivery option selected. Any indication of delivery times is approximate and does not constitute a guarantee on the part of Solida.

Certain restrictions or special delivery conditions may apply depending on the province or territory in question, particularly when the Buyer is located in a place where delivery is difficult, or possible but at excessive cost. For delivery to territories outside Canada, customs, tariffs, and taxes are the responsibility of the Buyer.

2.4 Title to the Products

The Products are delivered by a third-party delivery company under a delivery contract. This delivery company is independent of Solida and is not affiliated or associated with Solida. You become the owner of the Products purchased from the moment the Products are delivered by the third-party delivery company.

2.5 Terms and conditions for canceling the sale and returning Products

Buyers who wish to cancel their purchase of Products immediately after making it may do so by contacting Solida’s Customer Service Department directly at 418-826-0900 or by email at info@solida.ca.

Solida does not allow any returns of Products.

3. Representations by the Buyer

The Buyer acknowledges and agrees that they understand and accept all terms and conditions relating to the purchase of Products under the terms of these Conditions. The Buyer understands that they may not assign their rights or obligations under these Terms and Conditions under any circumstances. In addition, the Buyer acknowledges that the personal information provided to Solida for billing purposes in order to complete the purchase is accurate and hereby consents to its use.

Furthermore, the Buyer certifies that they have all the necessary permits, approvals, and other authorizations to purchase the Products sold and all their components, including pesticides, if applicable.

The Buyer understands that the Products sold, or certain components thereof, pose a health and environmental hazard. The Buyer is required to comply with the conditions of use of the Products issued by Solida or the manufacturer. The Buyer acknowledges that they are a professional buyer, accepts the risks associated with the use of the Products sold, and is responsible for ensuring that their use of the Products is authorized and complies with applicable laws and regulations. Solida declines all responsibility in the event of non-compliance by the Buyer.

4. Warranty exclusions and limitation of liability

Solida warrants to the Buyer that the Products will function and be free from any manufacturing defects that would limit or prevent the use of the Products. Notwithstanding the foregoing, Solida makes no warranty of results on the Products whatsoever. The Buyer agrees that the information obtained through the use of the monitoring Products is only one factor in assessing the presence or absence of target insects. Solida makes no warranty in connection with the results obtained. The Buyer must seek the opinion of a competent professional to assess the presence or absence of target insects.

Solida disclaims any and all liability for any indirect, special, consequential, or incidental damages, including loss of profits or use, related to the Products sold or to these Terms and Conditions, even if advised of such risks. Similarly, Solida assumes no liability for personal injury, including death, resulting from unauthorized use, use that does not comply with applicable laws and regulations or the terms of use, or negligent use of the Products. Solida’s total liability shall never exceed the amount paid by the Buyer for the Products concerned.

For the purposes of this section, “Solida” includes Solida’s directors, officers, employees, and agents.

This section shall remain in force even if these Terms and Conditions are terminated or expire for any reason whatsoever.

5. General Provisions

5.1 Applicable Laws

These Terms and Conditions, as well as their interpretation, enforcement, validity, and effect, are subject to the laws of Quebec and applicable federal laws, where applicable. Any dispute or disagreement relating to the interpretation of these Terms and Conditions shall be brought before the competent court of the judicial district of Quebec City.

5.2 Severability

If any provision of these Terms and Conditions is deemed invalid or unenforceable, that provision shall be removed from these Terms and Conditions without affecting the validity of the document as a whole.

5.3 Force majeure

Solida shall not be liable for any delay and/or failure to perform its obligations under these Terms and Conditions if such failure results from an unforeseeable and unavoidable event beyond its reasonable control, including, but not limited to, strikes or lockouts, or the impracticability of procuring materials or suitable substitutes, or the failure of necessary public utilities; natural disasters, tornadoes, hurricanes, floods, droughts, fires or other calamities, landslides, earthquakes, and abnormally adverse weather conditions for the region; acts of war, pandemic, terrorism, blockade, insurrection, riots, civil unrest, or national calamities; and other acts or circumstances to the extent that they would otherwise constitute a force majeure event in accordance with section 1470 of the Civil Code of Québec.

5.4 Notices and communications

Notices required or permitted to be given under these Terms and Conditions must be in writing and will be deemed to have been validly given if sent by email or registered mail to the following address:
